Urbano Network, www.urbanonetwork.co.uk and www.urbanonetwork.com  are the property of Talent Lab Ltd, UK registered company and subject to UK company laws.

All users of www.urbanonetwork.co.uk agree to Urbano Network’s Terms & Conditions. Your use of the above websites constitutes your agreement to our Terms & Conditions. Urbano’s Terms and Conditions are subject to change without notice.

2. Information on the Website.

Whilst every effort is made to update the information contained on this website, neither Talent Lab ltd nor any third party or data or content provider make any representations or warranties, whether express, implied in law or residual, as to the sequence, accuracy, completeness or reliability of information, opinions, any share price information, research information, data and/or content contained on the website (including but not limited to any information which may be provided by any third party or data or content providers) ("information") and shall not be bound in any manner by any information contained on the website. Talent Lab ltd reserves the right at any time to change or discontinue without notice, any aspect or feature of this website. No information shall be construed as advice and information is offered for information purposes only.

3. Trade Marks.

The trade marks, names, logos and service marks (collectively "trademarks") displayed on this website are registered and unregistered trademarks of Talent Lab ltd. Nothing contained on this website should be construed as granting any licence or right to use any trade mark without the prior written permission of Talent Lab ltd.

4. External Links.

External links may be provided for your convenience, but they are beyond the control of Talent Lab ltd and no representation is made as to their content. Use or reliance on any external links and the content thereon provided is at your own risk. When visiting external links you must refer to that external websites terms and conditions of use.

5. Public Forums and User Submissions.

Talent Lab ltd is not responsible for any material submitted to the public areas by its members or event attendees you. Any submitted material is not endorsed, reviewed or approved by Talent Lab ltd. Talent Lab ltd reserves the right to remove any material submitted or posted by you in the public areas, without notice to you, if it becomes aware and determines, in its sole and absolute discretion that you are or there is the likelihood that you may, including but not limited to -

5.1 defame, abuse, harass, stalk, threaten or otherwise violate the rights of other users or any third parties;

5.2 publish, post, distribute or disseminate any defamatory, obscene, indecent or unlawful material or information;

5.3 post or upload files that contain viruses, corrupted files or any other similar software or programmes that may damage the operation of Talent Lab ltd's and/or a third party's computer system and/or network;

5.4 violate any copyright, trade mark, other applicable UK or international laws or intellectual property rights of Talent Lab ltd or any other third party;

5.5 submit contents containing marketing or promotional material which is intended to solicit business.

6. Specific Use.

You further agree not to use the website to send or post any message or material that is unlawful, harassing, defamatory, abusive, indecent, threatening, harmful, vulgar, obscene, sexually orientated, racially offensive, profane, pornographic or violates any applicable law and you hereby indemnify Talent Lab ltd against any loss, liability, damage or expense of whatever nature which Talent Lab ltd or any third party may suffer which is caused by or attributable to, whether directly or indirectly, your use of the website to send or post any such message or material.

7. Warranties.

Talent Lab ltd makes no warranties, representations, statements or guarantees (whether express, implied in law or residual) regarding the website, the information contained on the website, your or your company's personal information or material and information transmitted over our system.

8. Disclaimer of Liability.

Talent Lab ltd shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, your or your company's personal information or material and information transmitted over our system. In particular, neither Talent Lab ltd nor any third party or data or content provider shall be liable in any way to you or to any other person, firm or corporation whatsoever for any loss, liability, damage (whether direct or consequential), personal injury or expense of any nature whatsoever arising from any delays, inaccuracies, errors in, or omission of any share price information or the transmission thereof, or for any actions taken in reliance thereon or occasioned thereby or by reason of non-performance or interruption, or termination thereof.

9. Use of the Website.

Talent Lab ltd does not make any warranty or representation that information on the website is appropriate for use in any jurisdiction (other than UK). By accessing the website, you warrant and represent to Talent Lab ltd that you are legally entitled to do so and to make use of information made available via the website.

The website exists to promote Urbano events, the network and the marketing and networking activities of its members. Urbano members can contact one another through urbano's unique online networking tools, including contact between all other members of Event Groups, Network Groups and by sector and invdividually through their Dashboard.

Non-member attendees of an Urbano event get their own Dashboard and can contact other attendees of the event they attended after the Event Group is published. Urbano can then send Admin Notices to every attendee. Members can send out Event Invitations to every Urbano attendee.

To change the frequency and delivery of message - ie email or Dashboard or none - login to your Dashboard and amend your settings.

10 Alteration.

Talent Lab ltd may at any time modify any relevant terms and conditions, policies or notices. You acknowledge that by visiting the website from time to time, you shall become bound to the current version of the relevant terms and conditions (the "current version") and, unless stated in the current version, all previous versions shall be superseded by the current version. You shall be responsible for reviewing the then current version each time you visit the website.

10.3 Conflict.

Where any conflict or contradiction appears between the provisions of these website terms and conditions and any other relevant terms and conditions, policies or notices, the other relevant terms and conditions, policies or notices which relate specifically to a particular section or module of the website shall prevail in respect of your use of the relevant section or module of the website.

10.4 Waiver.

No indulgence or extension of time which either you or Talent Lab ltd may grant to the other will constitute a waiver of or, whether by estoppel or otherwise, limit any of the existing or future rights of the grantor in terms hereof, save in the event or to the extent that the grantor has signed a written document expressly waiving or limiting such rights.

10.5 Cession.

Talent Lab ltd shall be entitled to cede, assign and delegate all or any of its rights and obligations in terms of any relevant terms and conditions, policies and notices to any third party.

10.6 Severability.

All provisions of any relevant terms and conditions, policies and notices are, notwithstanding the manner in which they have been grouped together or linked grammatically, severable from each other. Any provision of any relevant terms and conditions, policies and notices, which is or becomes unenforceable in any jurisdiction, whether due to voidness, invalidity, illegality, unlawfulness or for any reason whatever, shall, in such jurisdiction only and only to the extent that it is so unenforceable, be treated as pro non scripto and the remaining provisions of any relevant terms and conditions, policies and notices shall remain in full force and effect.

10.7 Applicable laws.

Any relevant terms and conditions, policies and notices shall be governed by and construed in accordance with the laws of Great Britain without giving effect to any principles of conflict of law. You hereby consent to the exclusive jurisdiction of the High Court of Great Britain in respect of any disputes arising in connection with the website, or any relevant terms and conditions, policies and notices or any matter related to or in connection therewith.

10.8 Membership - behaviour
Member companies and their representatives agree to behave at all times, whether at events or online, in a positive spirit and polite manner. Urbano has three overarching rules regarding its networking:

1. "Members must strive to offer 'value' to any company or individual they meet through Urbano". 'Value' is measured by the receiver. In any encounter, members are encouraged to think of something valuable they can pass on to the other member. This could be an introduction, a referral, a new client, some new business or a host of individual, company-wide, business or social benefits. In this way, every member becomes part of a value-generating community that seeks to nurture all its member businesses.

2. "If you want to send, you must receive". Urbano's dashboard offers every representaive to alter their individual settings. It also allows every representative the chance to send out information about their company, event invitations, requests for meetings and a host of other communications. The recipient always has the choice to accept or decline. But Urbano, whilst taking no responsibility for any communications across its site, promotes the idea that these communications should offer value to the recipient. But also, from time-to-time, you may be a nett sender or receiver. Urbano facilitates and encourages each Representative to embrace opportunity.

3. "You can never step in the same river twice". No company is too big, too small or too similar for something of value to happen through a connection. Urbano fiercely defends the idea that the best networking is achieved through random, seemingly illogical connections. Urbano is creating an even playing field for every company and individual, regardless of where they are right now, to show enthusiasm towards another. Today's start-up is tomorrow's Facebook.

Member companies and their representatives agree to by the spirit of these three simple rules and abide by the rules of membership. Persistent unwelcomed messages ("spam") will mean communications are blocked.Those attending events, whether members or non-members, also agree to embrace the three rules above. Anyone solely attempting direct selling is not using the multi-layered opportunities that networking through Urbano can offer. Urbano reserves the right to refuse admittance to those individuals and companies, where applicable, deemed to be acting against the spirit of Urbano.

Urbano reserves the right to suspend any company or individual from the Urbano online system or from membership. Usually a warning and explanation is given but serious and repeat offenders can see themselves and their companies suspended or, in serious cases, their membership ended. Urbano reserves the right to suspend or end membership without explanation or compensation or repayment.

10.9 Membership
Membership of Urbano Network is on a company, charity or individual basis. We welcome applications from any company, regardless of area, sector, size or speciality. We offer few restrictions on those who can apply for membership, but we reserve the right to refuse or terminate memberships without explanation, usually where we feel new or continued membership is not beneficial to Urbano or our community as a whole.

Memberships are available on a monthly or annual basis. Subscription costs are outlined on our Membership Page along with associated benefits for each level or type.

Paid Company or Individual Urbano Membership is not available to Venues or Venue Groups or those representing Venues or Venue Groups. Urbano has a separate Host Venue Partnership Membership available to venues. Email the office for details. Only Host Venue Partners have access to benefits including networking events.

Precise details of membership terms are liable to alter and are covered by the current details on the Membership part of the website. Agreement will be made under those terms and Urbano reserves the right to amend or withdraw any offer of membership before or during the term of membership without compensation.

All membership applications are vetted to ensure the bona fides of the applying company, that they have a clear understanding of the vision for Urbano and that acceptance will bring benefit to the whole membership.

For larger companies including PLCs Company membership usually applies to one stated office address and usage of the Urbano website and our services is accepted on that basis. Attendees from other offices in the same company can book events at member rates.

Membership services such as Tender Opportunities are delivered as part of Company membership on a fair usage basis. Tender Opportunities are only sent to those Urbano Member Companies paying ghte Tender Supplement as part of their Monthly or Annual Membership and where the tender is directly relevant to their services. Our judgement on this is final. No liability for the tender is accepted.

We will from time to time we will advise companies which request numerous, multiple tenders but do not attend Urbano events regularly that we will restrict tender requests or withhold them.  Fundamentally, Urbano is a networking community where connections are faciliated through events and our additional services are complementary to these events. 

We believe in localism and local opportunities for small companies, so we only currently offer tender information for tenders in London and the south-east (although we do search for those tenders that have a national remit including London and the south-east). Occasionally, we will list tenders out of that area, but we will only send to members with current membership. We do not accept Group Memberships and will only send tenders relevant to the core services of the company as described on their Urbano Company Profile.

Membership entitles each member company and its representatives access to all Urbano's general networking events at member rates and networking seminars where appropriate to the company's sector or the individual representative's specialism.

Annual Company Memberships can promote their own events through Urbano's calendar. It is primarily designed to allow those Urbano Annual Members to promote occasional events, such as seminars, workshops, etc.

The Urbano Member Company has to be the organiser AND at least 50% of the speakers. Where events are organised with another company, both or all parties have to be members. All relevant events can be uploaded to our calendar but a maximum of one event per member company per month will be accepted for promotion as a notice.

We do NOT send out invitations to events on behalf of non-member organisations. This includes third party or members' clients events. We will also not promote events of any other networking organisations including those set up by Urbano Members.

Use of Urbano's calendar to list events and to promote them across our database of members and associates is reserved and subject to a fair usage policy and our discretion.  Urbano reserves the right to refuse listing of events on our calendar and/or to deny sending out of the promotional email via our system, especially for those events where there is an Urbano event clash. 

Urbano holds a varied calendar of weekly networking events, including networking lunches, evenings, speaker breakfasts and different events that will attract a diverse audience to attend.

Whilst every effort is made to run an event each week, bar two weeks over Christmas and one week at the end of August, we reserve the right to alter, postpone, cancel any event and inform attendees in the time given to us when situations dictate. We usually in such circumstances offer to transfer any bookings made to the next suitable event of choice for the booked attendee (s).

Each Urbano Connections Member can send up to two representatives of their company to any of our events at member prices. Urbano evening events are currently free for the first representative of any member company and a second attendee for members at Urbano's discretion. Where charges are made for events, any member company's representatives enjoys a member rate at around 30-50% of the usual rate. Urbano hosts regular member evening events and these are currrently free for two representatives of every Urbano Member, but Urbano reserves to change their frequency and member entry price at any of our events at our discretion.

Representatives of Urbano Member Companies join Urbano by booking their first event.

Annual company member fees are paid by card or BACS on receipt of invoice. Membership runs from the date of invoice; membership benefits such as right of event attendance at member rates begin on receipt of payment. Payment must be confirmed to Urbano by the payee. Once a request for membership is received, usually by email, we consider that the payment will be honoured. As we make connections and recommendations of members based on good faith, where a company subsequently decides not to pay and join the network, we will bar it and all its representatives from Urbano events and website.

Each representative also has their own profile on the Urbano website and full access to the online networking opportunities the website facilitates and encourages.

Memberships paid for by monthly standing order or direct debit start on receipt of first payment and then continue until Urbano receives notice of termination with a minimum period of one month given for termination after the first year's membership is completed.

Urbano reserves the right to alter its event programme or change membership access to its website and all other facets of membership benefits of the network without refund of membership or event payments. Where events are cancelled, and where we can, Urbano will transfer any paid bookings to another event. 

10.10 Refunds and Reactivation Fees.
Membership of Urbano is a commitment for one year minimum. Date of membership start on the date of application or invoice or direct debit set-up, whichever is the earlier. Benefits start on date of either payment of the whole membership fee or first instalment payment made by standing order.

Members, whether company or individual, join for a minimum twelve months and applications are accepted only on that basis. At the end of the initial 12 months, if a company decides to not renew, notifying Urbano by email, we will deactivate their company profile and all those representatives of the company. Any representative wishing to attend subsequent Urbano events will need to rejoin Urbano Network with the agreement of Urbano and has the choice to do so as an Individual or Company.

Where a request for membership is received, Urbano will raise an invoice. If the invoice remains unpaid despite our best endeavours, we will canecel the application and remove the company and its representatives from our website and invitations database. Urbano is committed to the timely payment of invoices and we accept membership applications on similar terms.

It is the responsibility of member companies to cancel any Direct Debits, whether monthly or annual, made to Urbano Network. Where overpayments are made after cancellation of membership, Urbano Network charges an administration fee equivalent to one monthly membership payment - usually £25 + VAT - to organise any such refunds. Subsequent refunds will be subject to administration fees of £25 + VAT each.

Where an attendee cannot make event and provided we are given at least 24 hours notice before the event's start time, we will endeavour to transfer the booking to another or, if required, make a refund, at our discretion and subject to Urbano incurring no charges from our hosts or other event sundries.

10.10.1 Important information for those paying by Direct Debit
Urbano does not permit pauses in memberships, regardless of circumstances. If a member company or individual cancels their direct debit in the first year of membership and before the 12th payment has been made, they can only rejoin Urbano by paying the balance of any monies owed from cancelled direct debits and a rejoining fee. This is currently set at £50 for an Individual or £100 for a company. This must be made with the agreement of Urbano, which retains the right to refuse all memberships, and on or before the new direct debit is set up.

Companies or Individuals cancelling a Direct Debit after their 12th payment can rejoin Urbano on a direct debit scheme with the permission of Urbano and on payment of a rejoining fee. This is currently set at £50 for an Individual or £100 for a company.

10.10.2 Important information for annual paying companies choosing not to renew
Membesrhips pay for Urbano to exist. A company is deactivated three weeks (15 working days) after its current membership lapses if no confirmation of renewal is receive by the office by then. If a company at a later date decides to start a membership with Urbano, it has to pay a renewal fee of £100. This must be made with the agreement of Urbano, which retains the right to refuse all memberships, and on or before the new invoice is raised. The account will be reactivated, along with membership, on receipt of payment for the annual membership fee.

Urbano's decision in all membership matters, including acceptance of applications and renewals, is final.
